website, analysis, education, and consultancy services (collectively, the "Services"). By using

and reporting. Results are based on the data and assumptions provided by the client. We make

no guarantees regarding the accuracy of third-party data or its interpretation.


2.2 Education Services

Allora Labs offers a range of educational services, including but not limited to online courses,

workshops, seminars, and training programs. These services are designed for informational

purposes and should not be considered professional certification or guarantees of

performance.


2.3 Consultancy Services

Our consultancy services aim to provide expert advice and recommendations based on your

specific business needs. While we strive to offer the best possible advice, you are responsible

for any decisions made based on our consultancy services.


3. Client Responsibilities

3.1 Compliance with Cannabis Regulations

Clients are responsible for ensuring that any cannabis material provided to Allora Labs for

analysis complies with all applicable local, national, and European Union laws and regulations,

including those concerning the cultivation, transportation, sale, and possession of cannabis.

Allora Labs assumes no responsibility for any illegal activity related to the materials submitted

for analysis.


4. Payment and Fees

4.1 Pricing

The pricing for our Services will be outlined in a separate agreement or provided at the time of

purchase. Allora Labs reserves the right to change its fees and payment terms for future

Services at any time, which will be communicated in writing or via our website.


4.2 Payment Terms

All payments are due upon receipt of the invoice unless otherwise agreed in writing. Failure to

pay for the Services on time may result in suspension or termination of access to the Services.


4.3 Refunds

Refunds are only provided in specific circumstances as outlined in your agreement with Allora

Labs. Please review our refund policy prior to making any payments.


4.4 Prohibition on Submission of Illegal Materials

Clients are strictly prohibited from sending, submitting, or providing any material for analysis

that is illegal under applicable local, national, or European Union law. This includes, but is not

limited to, controlled substances, substances obtained through illegal means, or any other

material that may constitute a crime. By using our Services, you confirm that all materials you

submit for analysis comply with applicable laws. Allora Labs reserves the right to refuse,

suspend, or terminate Services if we suspect any violation of this clause, and you may be

subject to legal consequences if found in violation of these laws.


5. Intellectual Property

5.1 Client Data

Any data you provide for analysis, education, or consultancy purposes remains your property.

By providing such data, you grant Allora Labs a limited, non-exclusive, and royalty-free license

to use the data for the purposes of fulfilling the Services.


5.2 Misuse and Falsification of Reports

Clients are strictly prohibited from altering, falsifying, or misrepresenting any analysis reports,

results, or findings provided by Allora Labs. Reports are for the sole use of the client and are

intended to provide factual data based on the material submitted. Any unauthorized

modification, distribution, or use of the reports in a misleading or fraudulent manner is

considered a breach of these Terms.


5.3 Limitations on Report Usage

The reports and analyses provided by Allora Labs are for informational purposes only and are

intended for use by the client for lawful purposes in accordance with applicable regulations.

Clients may not distribute or publish the reports without our express written permission,

unless otherwise permitted under the contract.

Allora Labs will not be liable for any consequences, legal or otherwise, resulting from the

misuse, falsification, or misrepresentation of the analysis reports.


6. Disclaimers

6.1 No Warranty

The Services are provided on an "as is" and "as available" basis. Allora Labs makes no

warranties, expressed or implied, regarding the Services, including but not limited to their

accuracy, reliability, or suitability for your purposes.


6.2 Limitation of Liability

To the fullest extent permitted by law, Allora Labs shall not be liable for any direct, indirect,

incidental, or consequential damages, including but not limited to any legal consequences,

fines, or penalties incurred as a result of the submission of illegal materials, misuse,

misinterpretation, or unauthorized use of our analysis reports. Our total liability for any claim

related to the Services shall not exceed the amount you paid to Allora Labs for the specific

Service in question.


6.3 No Medical or Legal Advice

The analysis provided by Allora Labs is strictly for informational purposes and should not be

interpreted as medical advice, legal advice, or an endorsement of the legality or safety of the

material submitted for analysis. Clients are responsible for consulting legal and medical

professionals for advice related to cannabis use, legality, or health effects.


7. Data Protection and Privacy

Allora Labs is committed to protecting the privacy of client data in accordance with the

General Data Protection Regulation (GDPR) and other applicable privacy laws. Any personal

data provided in the course of using our Services will be processed in compliance with these

regulations. Clients have the right to access, correct, or request the deletion of their personal

data as outlined in our Privacy Policy.


8. Force Majeure

Allora Labs shall not be held liable for any failure or delay in performing its obligations under

these Terms due to events beyond its reasonable control, including but not limited to natural

disasters, changes in law or regulations, strikes, pandemics, or other significant disruptions.


9. Dispute Resolution

In the event of any dispute arising from these Terms or the Services provided, the parties agree

to attempt to resolve the matter amicably through good faith negotiations. If the dispute

cannot be resolved, the dispute will be settled under the exclusive jurisdiction of the courts of

Barcelona, Spain.


10. Termination

Allora Labs reserves the right to suspend or terminate your access to the Services at any time,

with or without notice, if we believe you have violated these Terms. You may also terminate

your use of the Services by notifying us in writing. Any outstanding payments or obligations

incurred prior to termination shall survive the termination of these Terms.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain and the

European Union. Any disputes arising from these Terms or the Services provided by Allora Labs

shall be resolved in the courts of Barcelona, Spain.


12. Changes to the Terms

Allora Labs reserves the right to modify these Terms at any time. Any changes will be posted on

our website, and continued use of the Services after such modifications constitutes your

acceptance of the updated Terms.
